How this is calculated
for each bracket b: ev_b = adjEbitda * multiple_b
base bracket = highest bracket where ev_b falls inside the bracket's EV range
(if none fits: the highest bracket whose ev_b overshoots its upper bound, EV capped there)
small firm : annualRevenue < $2,000,000 -> base range 3.0x to 4.0x (midpoint for the mid estimate)
adjTotal = sum of applicable editorial adjustments, clamped to -25% .. +25%
low = adjEbitda * base * (1 + min(adjTotal, 0) - 0.15)
mid = adjEbitda * base * (1 + adjTotal)
high = adjEbitda * base * (1 + max(adjTotal, 0) + 0.15)
EV/Revenue = mid / annualRevenueBase multiples by implied deal size (Aventis Advisors, Mergermarket data):
- Under $5M5.2x
- $5-20M6.8x
- $20-50M8.9x
- $50-100M9.9x
- $100-500M10.0x
Small-firm floor: revenue under $2,000,000 uses a 3.0x to 4.0x range.
The adjustments (recurring revenue, client concentration, churn, growth, owner hours, documentation) are MSPCoach editorial judgements. They are directional and are not derived from market data.
Market context
Drake Star counted 466 MSP M&A deals in 2025. Omdia counted 169 publicly announced deals, with private equity in 69% of disclosed deals. The counts differ because the scope differs: one includes deals that were not publicly announced, the other counts announcements only, and the PE share is likely to overstate PE in all deals.

- Not a valuation and not advice. Real offers depend on quality of earnings, deal structure and buyer type.
- Multiples are medians of past deals, not a forecast for yours.

FAQ
How are MSPs valued?
Usually as a multiple of adjusted EBITDA, with the multiple rising with deal size and with quality factors such as recurring revenue, client concentration and owner dependency. Buyers confirm the numbers in quality-of-earnings work before an offer is final.
What EBITDA multiple does a small MSP get?
Published medians skew to large deals. An advisor estimate in the Aventis Advisors analysis puts businesses with revenue under roughly $1-2M at 3-4x EBITDA, below the medians for larger deals shown above. Treat all of it as a range, not a quote.
Do buyers pay for revenue or EBITDA?
Mostly EBITDA, because it reflects what the business earns after costs. Revenue multiples are a sanity check; the estimator shows the implied EV-to-revenue ratio for that purpose.
